Eligibility and authority
You must have reached the age of majority where you live and have legal capacity to enter this agreement. If you act for a business, brokerage or another person, you confirm that you have authority to bind that party and to use the information you submit. You are responsible for the authorized users you invite and their activity within your account.
The role of BizBuyout
BizBuyout is a marketplace portal that provides listings, search, electronic NDA records, data rooms, buyer management and related subscription tools. We are not a business broker, a party to a business sale, an escrow provider or your agent. We do not negotiate transactions, hold purchase funds, provide manual valuations or give legal, tax, accounting, investment or financing advice.
Buyers, sellers and brokers make their own decisions about counterparties, disclosures, professional advisers, financing and transaction documents. A listing, directory entry, buyer profile, score or featured position is not our endorsement or a guarantee of identity, authority, accuracy, solvency, funding or completion. No subscription guarantees a matching listing, an inquiry, an offer or a sale.
Account access and email confirmation
Provide accurate account information and keep it current. Email codes confirm control of an email address and must not be shared. Protect your account, restrict access to authorized users and tell [email protected] promptly if you suspect misuse. Each user must use their own permitted access rather than sharing a login to bypass a seat limit.
Confirming an email saves your signup and associated preferences. It does not by itself authorize a charge or begin a paid subscription. A paid subscription starts when you accept the selected billing terms and authorize payment.
Plans and permitted use
The business listing pricing page describes Buyer Premium, Owner Listing, Owner Featured, Broker Pro and Broker Team, including listing allowances, seats and featured slots. Your subscription covers only the selected plan and its permitted users. One subscription is allowed per payer. Do not create duplicate payer accounts, split billing identities or share access to combine subscriptions or bypass limits.
Searching is free for buyers and is separate from the paid subscriptions. The valuation calculation is a one time tool interaction, not a subscription plan. Optional Buyer Premium access remains subject to a seller's NDA and document permissions.
Charges and recurring billing
All published subscription prices are in USD. Yearly billing is selected by default, and you may choose monthly billing before subscribing. A yearly plan is charged as the full yearly amount. The displayed monthly equivalent of a yearly price is not an installment arrangement.
By subscribing, you authorize the recurring charge for the selected billing period until cancellation. The amount, renewal period and any applicable tax are presented before you authorize payment. You are responsible for applicable charges and accurate billing information. Card payments are handled through secure checkout. Separate fees charged by your advisers, broker, lender or other transaction providers are not included in the subscription.
Subscriptions renew for the selected monthly or yearly period unless canceled before renewal. Any change to a renewal price or material billing condition is disclosed before it takes effect, with the opportunity to cancel. A change does not retroactively increase a paid charge. If payment fails, we may ask you to update the payment method and restrict paid access until payment is resolved.
Cancellation and no refunds
You may cancel any time through the subscription settings to stop the next renewal. Access continues until the end of the paid period. There are no refunds for subscription payments, partial periods, unused time, unused listing capacity, unused seats or a transaction that does not complete. Removing a listing, stopping use or deleting an account does not create a refund entitlement.
Cancellation does not erase amounts already due. If you need to stop renewal and close an account, cancel the subscription as part of that request. Contact [email protected] if you cannot reach your subscription settings. Nothing in this policy excludes a refund or other remedy that applicable law requires.
Flat subscription and separate transactions
BizBuyout takes no commission on the sale of a business. You arrange any purchase price, deposit, broker commission or professional fee directly with the relevant party. Do not treat a BizBuyout invoice as evidence that a sale, buyer or seller has been approved.
Authority and accuracy of listings
List only a genuine business or permitted business asset opportunity that you own or are authorized to market. Brokers must have the authority and any credentials required for their own activities. Keep listing information accurate, current and consistent with the scope of the sale. Remove or update a listing when it is no longer offered on the stated basis.
Describe material assumptions behind financial figures and distinguish historical results from projections. Do not claim guaranteed returns, guaranteed financing or an assured sale. Obtain permission to publish photographs, logos, documents and information belonging to others. A public listing must not disclose confidential material you lack authority to share.
Featured placement is promotional visibility, not approval of the business or a promise of inquiries. The AI listing writer and AI listing review assist preparation and review. You remain responsible for checking the final content, financial statements and confidentiality before publication.
Prohibited content and activity
- False, misleading, fraudulent or impersonated listings, profiles and messages
- Content that infringes intellectual property, privacy, confidentiality or another person's rights
- Stolen financial records, identity documents, payment credentials or personal data shared without authority
- Illegal goods, unlawful services or offers that facilitate prohibited conduct
- Threats, harassment, discriminatory abuse or sexually exploitative content
- Malware, unauthorized access, interference with the service or attempts to evade security controls
- Unsolicited bulk messages, unrelated advertising or misuse of buyer information for unrelated solicitation
- Manipulation of buyer scores, acceptance records, access logs or billing and plan limits
- Investment or securities solicitations presented as ordinary business listings without the required legal basis and permissions
We may review, restrict or remove content and ask for evidence of authority or accuracy. Moderation does not certify the listing, verify every claim or transfer your responsibility to us. To report an issue, email [email protected] with the relevant link and a concise explanation.
Broker directory information
The broker directory uses public license registries. Public source information may change or contain errors. An entry is not a review, endorsement or statement that a license is current or sufficient for a particular transaction. Verify the underlying record and relevant local requirements independently. Claiming or managing a profile requires authority; public information alone does not prove ownership of the profile.
NDA acceptance and separate obligations
An NDA is an agreement between the parties identified in its text. Review that text, the parties and the scope of confidentiality before accepting. You consent to recording your electronic acceptance and its associated time, text version, IP address and user agent. Do not accept on behalf of someone else without authority.
We provide the acceptance record and related tools, but do not determine whether an NDA fits your situation or is enforceable. A custom template is the responsibility of its provider and the parties using it. Seek independent legal advice when needed. These service terms do not replace the parties' NDA or purchase agreement, which govern their own subject matter.
Data room permissions and use
The seller or authorized broker decides which buyers may access which documents, subject to the applicable NDA. Accepting an NDA or paying for a subscription does not automatically grant access to every document. Sellers must have authority to upload and share documents, limit personal information to what the review requires and maintain appropriate permissions.
Buyers may use confidential material only for the permitted evaluation and under the applicable NDA. Do not forward, publish, reuse or disclose it beyond authorized recipients. Keep permitted copies secure and follow return or deletion obligations in your agreement. Revoking access prevents further permitted access through the room but cannot recall copies already obtained.
Watermarks and access logs support accountability and do not guarantee that misuse cannot occur. Maintain your own authorized business records. Before subscription access ends, retain only those copies you are entitled to keep. Confidentiality obligations and restrictions on misuse continue for the duration stated in the relevant NDA even after a listing, account or subscription ends.
Messages and transaction decisions
Keep messages relevant to the listing or authorized business purpose. Verify instructions about payments, document changes and counterparties independently. You are responsible for due diligence, inspections, local requirements, funding decisions and the final transaction documents. Product communications and an NDA record do not form a purchase agreement unless the parties separately enter one.
Your content and our service rights
You retain your rights in content you submit. You grant the administrator a nonexclusive license to host, store, reproduce, format and display that content as necessary to operate the features you request. Public listing content may be displayed in search, alerts and authorized listing distribution. Confidential documents are subject to the permissions you set and are not licensed for unrelated public promotion.
This license lasts while needed to provide the service, maintain permitted records and meet applicable retention obligations. Removing public content stops future publication through your listing, subject to existing messages, authorized copies and records that must be retained. You confirm that you can grant these rights and that using your content as authorized does not violate another person's rights.
The BizBuyout brand, interface and service materials remain the property of their respective rights holders. Your subscription grants permission to use the service under these terms, not ownership of its materials. Third party links and services have their own terms, and you are responsible for reviewing them.
Privacy and rights complaints
The Privacy Policy describes data collection, sharing, retention and requests. For an intellectual property or confidentiality complaint, email [email protected] identifying the content, its link, the right involved and your authority to act. Provide an accurate explanation and enough information for us to assess it. Do not send unrelated confidential documents.
Service changes and restrictions
We may maintain and update the service, correct errors and restrict access that creates a security risk, violates these terms or remains unpaid. Where appropriate, we explain the issue and allow a response. We may suspend or end an account for serious or repeated violations. Such action does not create a refund entitlement beyond rights required by law and does not erase existing payment or confidentiality obligations.
If we materially change these terms, we publish the revised version and provide notice before it governs continued subscription use. The updated date identifies the current version. You may cancel renewal if you do not accept the change. Changes do not retroactively alter an NDA between users or an already completed transaction.
Disclaimers and limits of liability
To the extent permitted by applicable law, the service and third party content are provided as is and as available, without promises of uninterrupted operation, error free information, transaction success or fitness for a particular purpose. We do not guarantee the accuracy of user content or that any confidentiality measure prevents every disclosure.
To the extent permitted by law, the administrator is not liable for indirect, incidental, special or consequential loss, lost profits, lost opportunities or losses arising from a transaction between users. Our total liability for a claim relating to a paid subscription is limited to the subscription fees you paid for the billing period giving rise to the claim. These limits do not apply where law prohibits them and do not exclude liability for fraud, intentional misconduct or other liability that cannot legally be limited.
You are responsible, to the extent permitted by law, for third party claims and reasonable losses caused by your unlawful content, infringement, unauthorized disclosure or material breach of these terms. This responsibility does not extend to losses caused by the administrator's own misconduct.
Disputes and remaining terms
Email [email protected] with a description of a dispute and the resolution you seek so we can review it. These terms do not require arbitration or waive any mandatory consumer rights. A dispute that is not resolved may be brought before a court with competent jurisdiction, under the law that applies to the parties and the claim. No particular state law or exclusive venue is selected by these terms.
If a provision cannot be enforced, the remaining provisions continue to apply to the extent permitted by law. A delay in enforcing a provision does not waive it. Payment obligations already incurred, confidentiality, permitted record retention, ownership and applicable liability provisions survive the end of the agreement where their nature requires it.
